Bitten & Mads Clausen’s Foundation is now carrying out the planned generational change in the owning family. Peter M. Clausen, Chairman of the Foundation, has announced that he will resign as chairman of the board of Bitten & Mads Clausen’s Foundation with effect from the annual general meeting.

Bitten & Mads Clausen’s Foundation has nominated current director of the Foundation Per Egebæk Have to succeed Peter Mads Clausen as chairman after the annual meeting on 6th April. 

Chairman for 23 years

Peter Mads Clausen has been chairman of the Foundation since 1999, when he replaced his mother, Bitten Clausen, who founded the Foundation along with her five children on Christmas Eve 1971. Peter Mads Clausen's successor is to be Per Egebæk Have, who has been director of the Foundation since 2009.

Peter Mads Clausen says: 

It is a momentous day that I have been anticipating with both sadness and joy. It is the day when 23 years as chairman of BMC Foundation come to an end. I think I have been lucky to have had such a big and exciting job. Over the years, the Foundation has grown a lot, as has my role as chairman. I have tried to give Danfoss the best conditions to maintain its leading position in the green transition enabling it to create, produce and sell energy-efficient solutions that will make the world CO2 neutral.

He continues: 

The development of the Foundation has always gone hand in hand with Danfoss, and during my time, the Foundation has helped to increase the attractiveness and dynamism of our region, with, for example, the Universe Science Park, the Town’s Harbour, the University of Southern Denmark and the energy-friendly Steigenberger Alsik Hotel & Spa. All to the benefit of Danfoss and the region.

In accordance with the Foundation's Articles of Association, Peter Mads Clausen will resign from the Board of Directors at the Foundation's annual meeting. Jens Bjerg Sørensen has also announced that he wishes to resign. The Board proposes the election of Per Egebæk Have and Mads-Peter Clausen to fill the two seats.

Danfoss & the Foundation

Bitten & Mads Clausen’s Foundation owns 48% of the share capital of Danfoss A/S, corresponding to 86% of the votes. The ownership as well as the strategic direction of Danfoss A/S and Bitten & Mads Clausen’s Foundation remain unchanged.

In the future, the family ownership of Danfoss A/S and the Foundation will be represented as follows:

Mads-Peter Clausen, son of Peter Mads Clausen, will continue his position on the Board of Danfoss A/S, of which he has been a member since 2014. He will become a new member of the Board of Bitten & Mads Clausen’s Foundation.

Mads Clausen, son of Jørgen Mads Clausen, will become a member of the Board of Danfoss A/S. He will continue his position on the board of Bitten & Mads Clausen’s Foundation, of which he has been a member since 2015.

Jens Martin Skibsted, son of Bente Skibsted, daughter of Bitten & Mads Clausen and former board member, continues his work in Bitten & Mads Clausen’s Foundation, of which he has been a member since 2012.

Peter Mads Clausen says: 

The aim of the Foundation is to benefit Danfoss. In cooperation with the municipality and local community, we have made the town a global showcase. The many investments, including in Project Zero, which will make the area carbon neutral by 2029, are one of the reasons why the IEA is holding its conference in Sønderborg in June and the Tour de France is coming to town in July. I couldn't have done it alone, and I pass the baton to Per, who has been the generator and engine of the Foundation's strategy.

Per Egebæk Have says on being nominated as the new chairman:

I am honoured to be nominated for chairman. It is a vote of confidence from the founding family of which I am proud. Since 2009, I have witnessed the family's determination to develop the Foundation and carry out its activities and projects in cooperation with other stakeholders. This approach has been very successful, and I intend to continue it with the Board and the incoming director as we take the next steps towards developing the South Jutland region for the benefit of Danfoss.

The final composition, including the division of roles, of the Board of Bitten & Mads Clausen’s Foundation will take place at the Annual Meeting on the 6th of April 2022.
